MUTUAL NON-DISCLOSURE AGREEMENT

THIS MUTUAL NON-DISCLOSURE AGREEMENT (the “Agreement”) is entered into between SHINKOWA PHARMACEUTICAL CO., LTD (“Company”) and your company (“Other Party”) as of today, (the “Effective Date”), to protect the confidentiality of confidential information of Company or of Other Party to be disclosed under this Agreement. Company and Other Party may be referred to herein individually as a “Party” and collectively as the “Parties.”

The Receiving Party will maintain and enforce comprehensive standards of conduct (the "Standards") for its personnel regarding the treatment of confidential and proprietary information; and agree to protect and maintain the confidentiality of the Confidential Information pursuant to the Standards in good faith and with the same degree of care that the Receiving Party uses to protect its own Confidential Information, but in no case, less than reasonable care. Without limitation on the foregoing, the Receiving Party and its personnel shall not disclose the Confidential Information to the public.

The Parties’ obligations under this Agreement: (i) shall not apply to any information that is or becomes generally or publicly available (other than as a result of the Receiving Party's breach of its obligations under this Agreement) or is obtained by the Receiving Party from a source other than the other Company; (ii) shall apply through the date that is three years after the Effective Date. However, the Parties will comply with this Agreement even after the 3-year period expires, and will not divulge or leak Confidential Information to a third party; and (iii) shall be subject in all events to the Receiving Party’s obligation to disclose information under applicable law or the rules of any governmental agency or securities exchange.

A party’s delivery of Confidential Information shall be deemed acceptance by the Receiving Party of an obligation to comply with the requirements set forth in the preceding sentence.

This agreement shall be governed by and construed in accordance with the laws Japan. Any dispute or controversy arising out of, relating to, or concerning any interpretation, construction, performance or breach of this Agreement, shall be submitted to the exclusive jurisdiction of the courts of Japan.
